If you do not agree to these Terms, please do not use the Site or submit any inquiries. These Terms apply to all visitors, users, and B2B customers.
All product specifications, dimensions, photometric data, and pricing displayed on the Site are provided for reference only and are subject to change without notice. We strive to ensure accuracy but do not warrant that product descriptions or other content on the Site are complete, current, or error-free. Final specifications are confirmed in the formal quotation (Proforma Invoice) issued by our sales team.
All quotations are valid for 30 days from the date of issue unless otherwise stated. Orders are confirmed upon receipt of a signed Proforma Invoice and the required deposit (typically 30% of total order value via T/T). We reserve the right to refuse or cancel any order at our discretion.
Standard payment terms are 30% deposit by T/T (Telegraphic Transfer) upon order confirmation, with the 70% balance due before shipment. For established clients with a positive payment history, alternative terms (such as L/C at sight) may be negotiated. Sample orders require full prepayment via T/T, PayPal, or Western Union. All prices are quoted in USD unless otherwise specified.
Lead times are estimates and begin from the date of deposit receipt and final design/specification confirmation. Standard orders typically ship within 15-25 working days; OEM/ODM orders within 25-45 working days. We offer FOB, CIF, and DDP shipping terms. Risk of loss or damage passes to the buyer upon delivery to the carrier (FOB) or upon delivery to the destination (DDP). We are not liable for shipping delays caused by carriers, customs, or force majeure events.
All Skyward Lighting products carry a 5-year limited warranty from the date of shipment, covering manufacturing defects in materials and workmanship under normal use and proper installation. This warranty does not cover:
Warranty claims must be submitted within 30 days of defect discovery, accompanied by proof of purchase, photos, and a description of the issue. Approved claims are resolved through replacement units shipped with the buyer's next order, or as a credit memo, at our discretion. The buyer is responsible for return shipping costs unless the defect is confirmed as a manufacturing fault.
Due to the B2B nature of our business, returns are accepted only for confirmed manufacturing defects or shipping errors, and must be authorized in advance. Custom OEM/ODM products are non-returnable. Refunds, if applicable, are processed to the original payment method within 15 business days of receiving and inspecting the returned goods.
All content on the Site, including product designs, text, images, logos, and technical documentation, is the property of Skyward Lighting or its licensors and is protected by international copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our prior written consent. For OEM/ODM projects, ownership of custom tooling and designs transfers to the buyer only after full payment of tooling fees and agreed volume thresholds are met.
To the maximum extent permitted by law, Skyward Lighting shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or in connection with the use of our products or Site. Our total aggregate liability for any claim shall not exceed the purchase price of the specific product(s) giving rise to the claim.
We shall not be liable for delays or failures in производительность due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, government actions, supply chain disruptions, labor disputes, or transportation failures.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes arising from these Terms or our business relationship shall first be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to the China International Economic and Trade Arbitration Commission (CIETAC) for arbitration in accordance with its rules. The arbitration shall be conducted in English in Shenzhen, China.
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Site. Continued use of the Site after changes constitutes acceptance of the revised Terms.
